Dividends

Decisive’s dividend policy is to pay monthly dividends to Shareholders based on funds generated and received from the subsidiaries. The level of dividends is reviewed on an ongoing basis by the Board of Directors.

Dividend payments are made to the shareholders of record on the last day of each month (unless such day is not a business day, in which case the date of record shall be the prior business day) and shall be payable on the 15th day of the following month or, if such day is not a business day, the prior business day or such other date as determined from time to time by the directors of the Company. The declaration of each monthly dividend is subject to the satisfaction of solvency tests under applicable corporate law.

Dividend History

Dividend Reinvestment Plan (DRIP)

Decisive Dividend offers a dividend reinvestment and cash purchase plan (“the DRIP”) for its regular monthly dividend.

The DRIP provides eligible shareholders of the Corporation with the opportunity to reinvest the dividends they receive on common shares (“Shares”) of the Corporation in additional Shares at a 3% discount to the volume weighted average closing trading price (the “Average Closing Price”) of the Shares on the TSX Venture Exchange (the “TSXV”) for the five (5) trading days preceding the dividend payment date of the Shares and without incurring brokerage fees or commissions.

Shares purchased through the DRIP will be issued directly from the treasury of the Corporation.

The DRIP also permits eligible shareholders of the Corporation to purchase new Shares by way of an additional cash payment (the “Cash Payment Option”). The purchase price for the Cash Payment Option will be the Average Closing Price of the Shares and without brokerage fees or commissions. The minimum permitted monthly optional cash purchase under the Cash Payment Option is $100.00, and no participant may make optional cash purchases in excess of $10,000.00 in one calendar year. The aggregate number of Shares purchased pursuant to the Cash Payment Option during any financial year is subject to a maximum of 2% of the total number of outstanding Shares at the commencement of such financial year.

James is a founder and has been Chair of the Board of Decisive Dividend Corporation since inception and acted as it’s Chief Executive Officer from inception until mid 2021.

He is a former Associate, Partner, Managing Partner, and Associate Counsel of Pushor Mitchell LLP, where he practiced for 23 years from 1999 until Aug. 31, 2022, where his law practice included a wide range of business law matters.

He has acted as counsel for hundreds of Corporations and Societies and has been involved in a broad range of business law transactions including business formations, mergers, acquisitions, restructuring, corporate finance transactions, franchising, technology/licensing agreements and securities compliance.

James has held a number of leadership roles in the local community. He has served as a past Director and President of the Kelowna Chamber of Commerce, the Kelowna Art Gallery, and the Kelowna Bar Association, and is a past Director of the Central Okanagan Community Futures Development Corporation and the Aberdeen Hall Preparatory School. He has served on the City of Kelowna Water Quality Task Force and has been an appointed alumni representative for the University of Saskatchewan in Kelowna.

He holds a Bachelor of Commerce Degree from the University of Alberta and a Juris Doctor from the University of Saskatchewan.

Bruce is the founder and portfolio manager of StoneCastle Investment Management Inc. and a former portfolio manager for some of the largest investment dealers in Canada and the USA. He brings over 25 years of experience to fund management.

Bruce is a graduate of the University of Alberta with a Bachelor of Commerce degree specializing in finance. He has earned multiple designations in the investment management industry including the Chartered Alternative Investment Analyst (CAIA) designation and the Chartered Financial Analyst (CFA) designation, one of the most prestigious designations in the financial industry. Bruce is a Past President of the Okanagan CFA Society, is a Fellow of the Canadian Securities Institute (FCSI), and a Member of the Canadian CAIA Society.

Bruce manages the Purpose Canadian Equity Growth and Purpose Canadian Income Growth portfolios for Purpose Investments. Michael is a corporate director and seasoned bilingual business executive with global experience.

Michael’s board experience includes 25 years of close association with corporate boards and Audit Committees of organizations in diverse industry sectors, such as financial services, technology, manufacturing, and not-for-profits. Michael is and has been a director and Audit Committee Chair of several TSX-listed corporations, including Decisive Dividend Corp. since its inception. Michael is Chair of the Institute of Corporate Directors – Okanagan Branch and has served as a director of various not-for-profits, including the Montreal Children’s Hospital.

Michael is currently a management consultant who provides business strategy, governance and performance management advice to Boards and CEOs of mid-market companies and start-ups, helping them attain their next level of development. Terry has been Chief Operating Officer, Director and Corporate Secretary of Decisive Dividend Corporation since inception.

He is a seasoned business leader with over three decades of senior management experience in manufacturing, legal and financial services with public and private companies across Canada.

Terry was previously Chief Operating Officer of Pushor Mitchell Lawyers for twelve years with responsibility for leading strategy, business development, operations and instrumental in the continued growth of the largest law firm in British Columbia outside the lower mainland.

Prior to joining Pushor Mitchell Lawyers, Terry had a successful twenty year career with CIBC where he held senior leadership and executive roles across Canada including Vice President / Region Head, Southern Ontario with oversight of 150 branches, $145 million in revenue and leadership of 1800 employees.

He is a past Director and Chair for the Central Okanagan Economic Development Commission.

Peter has a broad range of executive management experience having held executive and senior management positions with various companies in the manufacturing sector. He is President of his own management consulting company, PDJ & Associates, and is President of and Facilitator for the Okanagan Peer Mentoring Groups for company executives.

Previous roles include Vice President at Canadian Manufacturers & Exporters B.C. Division, President at Whitewater Composites Ltd / FormaShape, and President & CEO at Avcorp Industries Inc. He also worked in Africa with Coopers & Lybrand and in the Bahamas with First City Bank of New York before relocating to Vancouver in 1974.
At the B.C. division of Canadian Manufacturers & Exporters, he was very involved as a Director, Chair and Vice President.

At Whitewater Composites / FormaShape, under Peter’s leadership the Company became the industry leader in North America in resin transfer moulding, volume production and were awarded “Innovative Organization of the Year” by the Okanagan Science & Technology Council, and “Big Business of the Year Business Excellence Award” by the Kelowna Chamber of Commerce, and “Canadian Innovation Award for Productivity Enhancement” by the Canadian Manufacturers & Exporters Association. At Avcorp Industries, Peter ran the largest aerospace company in B.C. and was responsible for establishing the first facility purpose-built for flexible integrated cellular manufacturing in B.C. and the first Canadian company in its industry to use high-speed, flexible manufacturing cells to produce components.

Peter has also been Director of the Canuck Place Hospice Board; Member of the Manufacturing Advisory Committee of the B.C. Competition Council; Chair of the Steering Committee of the Okanagan Composite Manufacturers Group; Director of the American Composites Manufacturers Association; Director of the Vancouver Board of Trade; Director of the Aerospace Industries Association of Canada; as well as a Director of other associations and companies.

Robert was first elected Chief of Westbank First Nation Council from 1986 to 1996, was returned to office in 2002 to 2016, and was returned to office in 2022.

After passing the bar in 1984, he entered the private practice of law until becoming involved in aboriginal governance. He was subsequently appointed as the Chair of the First Nations Lands Advisory Board and his experience led to an invitation to become involved in B.C. treaty negotiations representing the Chiefs of British Columbia. He is also an Okanagan business owner with several successful enterprises over the past 25 years. His latest ventures are Indigenous World Winery (2012) and Indigenous World Distillery & Spirits (2013).

Tim has over twenty five years oilfield experience. He was a founder and director of Dalen Drilling Services Ltd, a directional drilling service company. His role in the company was Vice President of Business Development & General Manager, responsible for overall running of the company. Dalen was acquired in 2003 by Weatherford International.

In 2003, he founded United Oilfield International, a Canadian solids control equipment& service provider with operations in Canada, United States and Peru and remained as President and Director from its inception until 2014 when the company was acquired by Aly Energy Services. He is a member of the Board of Directors of Aly Energy Services and also serves as a member of their Audit Committee.

Tim founded Canadian Nitrogen Services in 2005 and has been President and Director since its inception. It is a Canadian based N2 pumping service utilizing membrane technology with operations in Canada, United States and Saudi Arabia.

Jeff joined Decisive Dividend Corporation as Chief Executive Officer in June 2021.

He is a senior executive with a wide range of leadership, business and capital markets experience.

Jeff most recently served as Co-Chief Executive Officer and Chief Financial Officer of TerraPro Inc., an Alberta based, Canadian energy services business. While at TerraPro, the company was named as one of Canada’s Best Managed Companies, achieving Gold Status in 2018. TerraPro was also named as one of Canada’s Fastest Growing Companies in the first four years Jeff was with the company.

Before joining TerraPro, Jeff was with Merrill Lynch Canada Inc. in Toronto, Ontario, as an Investment Banker, where he advised on over $100 billion of mergers & acquisitions and financing transactions over seven years.
